Visionstate Announces Closing and Final TSX-V Acceptance of Private Placement
Edmonton, Alberta, June 20, 2019 - Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) is pleased to announce that it has received final acceptance from the TSX Venture Exchange and has now closed on an over-subscription of 10,469,640 units (“Unit”) at a price of $0.025 per Unit for gross proceeds of $261,741 in connection with a non-brokered private placement (“Private Placement”) announced on April 15, 2019 and May 13, 2019. Each Unit is comprised of one (1) common share in the capital of the Company (“Common Share”) and one-half (½) Common Share purchase warrant (each whole warrant is referred to as a “Warrant”). Each Warrant entitles the holder to purchase one (1) additional Common Share at a price of $0.05 per Common Share for a period of one (1) year following the date of closing (the “Warrant Term”). In the event the Common Shares close at a price of greater than $0.075 per Common Share for a period of greater than twenty (20) consecutive trading days, then the Warrant Term shall be automatically accelerated and shortened from one (1) year to thirty (30) calendar days following the date a press release is issued by the Company announcing the reduced Term, and the issuance of the press release shall be deemed to be sufficient notice to all warrant holders of the shortened Warrant Term as a result of the acceleration.
The pricing of the Private Placement was made in reliance on the temporary relief measures established by the TSX Venture Exchange Bulletin dated April 7, 2014. The price per Common Share was set at the last trading price on the TSX Venture Exchange before the issuance of the initial press release.
Visionstate intends to use the proceeds from the Private Placement for WANDA software development, specifically IoT (Internet of Things) buttons and a mobile app integrated with WANDA, WANDA hardware inventory for internal sales, marketing campaigns and general working capital purposes.
The participation in the Private Placement by directors and executive officers of Visionstate may be considered a “related party transaction” (the “Related Party”) as defined under Multilateral Instrument 61-101 (“MI 61-101”). Visionstate has determined that exemptions from the formal valuation and minority shareholder approval requirements under MI 61-101 are available. In particular, Visionstate has determined that the exemptions set out in paragraphs (a) and (b) in section 5.5 of MI 61-101 are applicable since the aggregate consideration to be paid by the Related Party does not exceed 25% of the market capitalization of Visionstate and Visionstate is not listed on the Toronto Stock Exchange, but only on the TSX Venture Exchange. In addition, regarding the minority shareholder approval exemptions, the independent directors have determined that the exemptions set out in paragraphs (1)(a) and (b) in section 5.7 of MI 61-101 are applicable in that the aggregate consideration to be paid by the Related Party does not exceed 25% of the market capitalization of Visionstate, the distribution of the securities to the Related Party has a fair market value of not more than $2,500,000 and Visionstate is not listed on the Toronto Stock Exchange, but only on the TSX Venture Exchange.
Pursuant to applicable Canadian securities laws, the securities issued under the Private Placement are subject to a four-month hold period from the time of closing of the Private Placement.

Visionstate Launches Cellular-Based Version of WANDA(TM) via TELUS’ LTE-M Network
Edmonton, Alberta, May 16, 2019 - Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) today announced that, following a successful completion of a trial period, it has entered into an agreement with TELUS, one of Canada’s largest telecommunications companies, to introduce cellular connectivity into its customized WANDATM Internet of Things (IoT) solution, through Visionstate’s exclusive distribution partner, Bunzl Canada Inc. The agreement enables Visionstate to sell a plug-and-play version of WANDA that leverages the power of TELUS’ LTE-M network, which was built specifically for IoT device connectivity. This will help to decrease deployment times and expand WANDA’s market potential in diverse locations.
Typically, installations have relied on Wi-Fi connection which, despite being a good option, is not always available at the installation locations. As a result of a number of tests, Visionstate produced a cellular-based connectivity solution for its WANDA product that can now be installed without the need to configure wireless networks in the area of installation, which significantly reduces the roll-out time.

Visionstate Closes First Tranche of Non-Brokered Private Placement
Edmonton, Alberta, May 13, 2019 - Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) is pleased to announce that the Company, subject to regulatory approval, has completed the first tranche of a non-brokered private placement (“Private Placement”) announced in the April 15, 2019 Press Release.
The first tranche consists of an offering of 6,477,154 units (“Units”) at a price of $0.025 per Unit for gross proceeds of $161,928. Each Unit is comprised of one (1) common share of Visionstate (“Common Share”) and one half (1/2) Common Share purchase warrant (“Warrant”).
Each Half Warrant entitles the holder to purchase one half (1/2) Common Share at a price of $0.05 for a period of one (1) year (the “Warrant Term”) from the Closing Date (as hereinafter defined) provided that if after four months and one day following the Closing Date, the closing price of the Common Shares of the Corporation on the principal market on which such shares trade exceeds $0.075 per Common Share for a period of greater than twenty (20) consecutive trading days, the Warrant Term shall automatically accelerate to the date which is thirty (30) calendar days following the date a press release is issued by the Corporation announcing the reduced Warrant Term, without any further notification to be made by the Corporation to the Subscriber.
All of the first tranche placees were either insiders or people close to the Company. The finder’s fees associated with the transaction were $8,000.
Visionstate intends to use the proceeds from the Private Placement for technology development, marketing campaigns and general working capital purposes.

Visionstate’s WANDA IoT Solution Sees Significant Year to Date Distribution Growth
Edmonton, Alberta, May 6, 2019 - Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) today provided a year to date (YTD) update on its WANDA solution distribution growth.
Since April 2018, the Company has added 18 new locations, 12 of which were in Canada, 2 in the US, and 4 in the UK, across multiple industries, including retail, healthcare, gaming and grocery. In Canada, Visionstate introduced WANDA to 6 new hospitals, 2 malls, an office building, a conference centre, 2 grocery stores and 2 casinos. Three of the four new locations in the UK using Visionstate’s unique Internet of Things solution have been added in the past three months, including the UK head office of the World Wildlife Fund.
The number of locations has nearly doubled compared to 2017.
Overall, YTD the Company added approximately 80 devices, of both 10- and 15-inch WANDA sizes, as well as people-counting sensors. There are now approximately 160 devices in the market globally.

(TSX-V: VIS) (“Visionstate” or the “Company”) is pleased to announce that, subject to regulatory approval, the Corporation intends to complete an offering ("Offering") of up to 10,000,000 common shares of the Corporation (“Common Share”) at a price of $0.025 per Common Share for gross proceeds of up to $250,000. The Offering includes one half warrant at $0.05 cents for every common share purchased. The pricing of the Offering is made in reliance on the temporary relief measures established by the TSX Venture Exchange Bulletin dated April 7, 2014. The price per Common Share has been set at the last trading price on the TSX Venture Exchange before the issuance of this press release.
In connection with the Offering, Visionstate will be relying on the existing security holders exemption as well as other available prospectus exemptions. For those investors relying upon the exemption for existing security holders, the aggregate acquisition cost to a subscribing shareholder of all securities of Visionstate cannot exceed $15,000 in the previous 12 months, unless that shareholder has obtained advice regarding the suitability of the investment from a registered investment dealer in the subscriber’s jurisdiction. The offer to purchase Common Shares is available to all security holders of Visionstate who held common shares on the record date of March 31, 2019. Visionstate Updates on Exceed Solar and Freedom Cannabis Investments
Edmonton, Alberta – March 14, 2019 – Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) today provided an update on the operations, progress and near-term plans of its two portfolio companies, Exceed Solar and Freedom Cannabis.
Both investments are aligned with Visionstate’s goal of developing smart technology solutions that promote sustainability. Visionstate’s primary focus is expanding the use and enhancing the functionality of its unique Internet of Things (IoT) WANDA solution. The Company’s strategic investments in Exceed Solar and Freedom Cannabis seek to extend WANDA’s IoT application beyond the existing footprint to the housing and cannabis industries.
Exceed Solar
Exceed Solar is a private, smart tech company whose objective is to disrupt the traditional building industry by introducing scalable, affordable, and energy efficient living spaces to the housing market.
Exceed Solar has completed R&D (Research and Development) on its smart, energy efficient living spaces, and is now in sales mode with two sales already made in Q1 2019: one for its 450 square foot Garden Suite to an Indigenous community in Alberta and one unit of its Sol Bank made to a residential home in Edmonton, Alberta. The Sol Bank is an 8x12 backyard utility space with approximately 1.5 kw/hr solar energy that has tremendous flexibility in adding a power module to a backyard or rural property. Together these sales represent approximately $150,000 in revenue.
Exceed has recently entered into an option agreement to commence development of the Sol Village project on approximately 53 acres of developable land near Pigeon Lake, which will include 30 Sol Spaces powered by a solar micro grid as well as community gardening and greenhouses. Exceed Solar anticipates launching pre-sales of the living spaces for the Sol Village project in the spring of 2019. The company is now updating its website to reflect the new pricing and product details.
In addition, Exceed Solar continues to provide seminars on climate change and opportunities in renewable energy and will be participating in an Indigenous sponsored event in April 2019. These seminars have proven valuable in terms of building relationships with the local First Nations communities.
Visionstate has a convertible debenture with Exceed Solar for $200,000, of which approximately $155,000 has been allocated for research and development of the Company's scalable living spaces. The two-year debenture, which matures on April 30, 2020, carries an interest rate of 7% and can be converted for up to 20% equity in the company. Visionstate continues to monitor progress and growth of Exceed Solar and is investigating opportunities to expand its IoT technology to the housing market.
Freedom Cannabis
Freedom Cannabis is a private sustainable cannabis company currently waiting for a final review to become a licensed producer. An important component of Freedom’s business strategy is sourcing genetics to add to its large medicinal and recreational cannabis cultivation portfolio. The company is in the final construction phase of its state-of-the-art facility which will be one of the best of its kind in Western Canada.
Visionstate’s reporting issuer* entered into an LOI (Letter of Intent) with Freedom Cannabis in May 2017. Visionstate then invested in Freedom Cannabis in a seed-round financing in 2018 and will be extending the terms of its agreement until September 2019. *Reporting issuers are non-listed public companies that are created in order to do reverse takeovers to acquire a public listing on a Canadian stock exchange.
Freedom has since successfully completed a second round of financing, effectively doubling the value of Visionstate’s investment, as reflected in the Company's balance sheet. As their business grows, so does Visionstate’s investment.
Freedom’s approach to sustainability aligns with Visionstate’s overall trajectory, while this strategic investment also allows the Company to introduce its IoT technology into the thriving cannabis industry.
Financing
Visionstate today also announced a private placement of up to $200,000, priced at 2.5 cents per unit, plus a half warrant at 5 cents for a term of 12 months. The net proceeds will be used for product development, marketing initiatives and working capital. The units shall be subject to the four-month holding period from the closing date as per TSX regulations.

Dr. Adams recently left J.P Morgan to pursue teaching, consulting and advisory opportunities and is currently an Adjunct Professor of Finance and Risk Engineering at New York University’s Tandon School of Engineering. He holds a Ph.D. and M.A. in Economics from The Ohio State University and is a Chartered Financial Analyst, also serving as a member of the CFA Society New York 2019 Nominating Committee. HealthSpace and Visionstate Announce Letter of Intent to Target Audit Segment of Facilities Management
VANCOUVER, BC – December 5, 2018 - HealthSpace Data Systems Ltd. (“HealthSpace”) (CSE:HS) (Frankfurt:38H) (OTC:HDSLF) and Visionstate Corp. (TSX-V: VIS) (“Visionstate”) (collectively, the “Companies”) have entered into a non-binding Letter of Intent (“LOI”) to utilize HealthSpace’s current suite of mobile audit applications and extend them for use within the facilities management space.
Visionstate’s product suite includes Internet of Things (“IoT”) devices that help track cleaning, maintenance and supply utilization. Its WANDA device is installed in both public and private facilities such as hospitals, airports, shopping centres, arenas and office buildings. Recent milestones include:
Seven WANDA units sold in a new location, a hospital in Toronto, Ontario.
Five WANDA units sold to a new customer, a shopping mall in the Greater Toronto Area.
Two additional WANDA units purchased by Transport Canada’s Edmonton International Airport.
Several new pilot projects underway including: a hospital in Edmonton, Alberta testing one WANDA unit, and another major Canadian airport testing five WANDA units.
Internationally, pilot projects are also kicking off in the United Kingdom and Australia with large, global companies.
The growth in sales and the sales pipelines are indicative of the growth of IoT in the building services space, as building operators continue to look toward the use of analytics in their decision making. WANDA will be featured at the annual BOMEX conference being held in Calgary, Alberta on October 1st to 3rd. BOMEX is the largest conference of its kind in Canada, catering to the commercial real estate sector.
Moving forward, Visionstate is planning to release a mobile version of WANDA, the development of which is already taking place. The new app will greatly enhance current sales and outreach taking WANDA outside of restroom facilities. The Company will also continue to test sensors with an aim to roll them out by Q2 2019.

Exceed Solar, which specializes in backyard solar applications branded under the name “Sol Spaces,” has signed an agreement with Southgate Centre in Edmonton, Alberta to display the Company’s high tech garden suite on the northwest parking lot. The Company’s solar-powered greenhouse will be exhibited inside the shopping centre and will feature, among other things, a living wall.

(TSX VENTURE:VIS) Visionstate (or “the Company”) is pleased to report substantial sales growth in the current fiscal year compared to the previous year. This trend highlights the growing interest in Visionstate's WANDA™ solution, an IoT (Internet of Things) touch screen solution designed to streamline and improve cleaning services in the building services sector.
Since the start of Visionstate's current fiscal year on October 1, 2017, the Company has seen a year-over-year increase in sales of 125% and an increase in gross profit of 250%. Meanwhile, license fee revenue has increased by 173% during the same time period.

These pilot projects are projected to successfully conclude within the next three months and we expect them to be followed by enterprise-wide roll outs.

EDMONTON, ALBERTA – Visionstate™ Corp. (TSX VENTURE:VIS) Visionstate (or “the Company”) today announced that Perry Kinkaide has resigned from the Company's Board of Directors, effective immediately. The Company thanks Mr. Kinkaide for his service for the past few years.

The Company also announced that Mr. Kevin Gilbank has joined its Board of Directors. He has over 15 years of oil and gas and infrastructure experience with a specialization in operations, project management, clean energy project development, and team leadership. Kevin has held increasingly senior roles within Shell Canada and has been pivotal in the growth of TERIC Power. Kevin holds a professional engineering designation as well as a Biomechanical Engineering Masters of Applied Science from the University of Ottawa, a Bachelor of Mechanical Engineering Degree (Honours) through the University of Dundee in the United Kingdom and a Mechanical Engineering Technology Diploma from Durham College.
Visionstate Corp. Announces Enhancements to WANDA Smart Device
EDMONTON, ALBERTA – Visionstate™ Corp. (TSX VENTURE:VIS) Visionstate (or “the Company”) is pleased to announce that exciting new enhancements have been added to its WANDA™ IoT smart touchscreen solution, an industrial-grade smart tablet that tracks cleaning, maintenance and supply utilization in high-traffic facilities including hospitals, airports, malls and office buildings.
WANDA is elevating customer service at these facilities by providing real time, actionable data that empowers facility managers to identify and solve problems before they become complaints.
These enhancements have been completed and are currently being rolled out to current customers:
Addition of French language and bi-lingual display options.
Traffic counters, using optical sensors that communicate with the WANDA unit and track customer traffic in and out of washrooms.
Additional API support, enabling automated export of data and easier integration with other software suites.
The traffic counter upgrade provides facility managers with robust metrics to help them understand peak traffic times and enable them to adjust scheduling and staffing for maximum efficiency. The API support enhancement clears the way for WANDA to exchange data with customers’ existing systems, making it easy for customers to obtain needed data.
As software enhancements are made, they are automatically distributed to units everywhere across existing wi-fi connections. The new language option will automatically display in the WANDA dashboard, making it easy and seamless for facility managers and staff to access and activate these new enhancements for their customers. The WANDA development team has also announced their next planned enhancement: digital monitoring of inventory levels for supplies including paper towels, toilet paper and hand soap. Remote generic sensors will monitor usage of washroom supplies and provide notification when these items need to be replenished. Once development is complete, this enhancement will allow facility staff to monitor and track inventory remotely and ensure that facilities are replenished before inventory is depleted. Development will be completed later this year.

This technology is being used to facilitate safety and security, optimize building maintenance and energy usage, and is improving efficiencies all around us. It is a powerful tool that is even further amplified when paired with real-time analytics and other technologies. Visionstate is on the leading edge of this emerging technology. With expertise in IoT, AI and sustainable building technology, Visionstate is developing disruptive new products for commercial markets that are just starting to understand the business application potential for these technologies. I am excited for what the future holds!
Sales Strategy
WANDA, our IoT next generation solution device for monitoring common areas, is providing value to customers in diverse locations including airports, hospitals, shopping centers and schools. We had been limited by our sales capacity and eager to greatly expand our sales reach. This was accomplished by aligning with a multinational company that specializes in the distribution of cleaning and supplies products, Bunzl. This agreement has given Visionstate a global sales, marketing and distribution reach for WANDA and expands our sales reach even beyond North America.
Together with Bunzl significant resources have been devoted to developing training and sales materials, culminating in live training sessions earlier this year that involved every member of the Bunzl Canada sales team. This front-line team was extremely excited about WANDA and the value it could bring to many of their existing customers. As efforts are ramped up to train our partner’s sales staff in Europe and Australia, these regions will be putting into place the infrastructure to sell and distribute WANDA as well. We anticipate accelerated sales growth as these regions complete their training and fully execute on product sales.
If you haven’t heard, our WANDA technology was awarded the top innovation award by the UK’s Cleaning & Support Services Association (CSSA)! This is a huge positive for Visionstate, as WANDA beat out other top global companies in this cleaning industry showcase event. Because of this, WANDA’s visibility in the marketplace has grown and our sales team has gained a tremendous tool that will help them in selling this product.
In addition, the Visionstate team is currently executing on several new pilot projects in the US, including some of the largest healthcare jurisdictions in the country. Other pilot projects that are underway include school districts and airports in the US. These projects demonstrate a growing interest by building operators, as they understand the return on investment offered by IoT solutions such as WANDA. These projects have the potential to generate orders for hundreds of WANDA devices within the next 6-12 months.
Our Investment Strategy
Looking to the future, our board of directors created a subcommittee specifically to address investment strategies for Visionstate Inc. Based on their recommendations, the board has asked that the primary focus be on leveraging recent acquisitions to make significant enhancements to WANDA and CINDI, so that the latter can be brought to market as quickly as possible. An important part of this strategy will be leveraging the capabilities of Chatbot Incubators, by integrating their AI capabilities into our CINDI product. This strategy will serve to diversify Visionstate’s revenue streams and consolidate our position as a leader in IoT applications.
In addition, our board recommends moving forward with a smaller development investment in Exceed Solar, as it is ready to go to market. Sustainable technology is an area that I am excited about and this latest addition to Visionstate Corp. will provide an excellent gateway to enter into the residential smart home market with its intelligent sensors. This investment will take the form of a convertible debenture secured against Exceed Solar assets, to protect Visionstate Corp. shareholders.
Also, recently discussed by the board is the high risk and volatility of cryptocurrency. The board has determined that the risk and uncertainty in this technology is too high and direct benefits back to Visionstate and its products not clear. In addition, the high amount of power consumption goes against our company’s value and goal of sustainable technology. Therefore, the board is recommending against further investment in this technology.
With this direction from our board, we will remain laser focused on improving Visionstate’s core solutions and increasing market awareness and revenues across global markets for these products. Our recent capital raise provides the capacity to continue expanding functions for core products to execute on these board directives.
Product Innovation
Ongoing improvement and innovation to our core product is clearly a priority and WANDA will continue to be enhanced. A new people counter functionality was recently introduced and multi-language options are being rolled out to customers this week. Currently in beta testing phase are cleaning product monitoring sensors that measure and communicate supply levels in real time, as well as enhanced cellular connectivity with 4G technology.
The next phase of product development has begun for CINDI, which includes integrating chatbot technology into a digital concierge function that adds a new and exciting aspect to this product. With a focus on mobile functions and artificial intelligence (AI), the new and improved CINDI product will target the hospitality industry and be ready for market in the second half of this year.
Exceed Solar is on pace to unveil a beta version of the customizable, solar-powered “Sol Spaces” module next month. We anticipate much buzz for this revolutionary yet affordable product with a trial-living program that will debut this summer in an area just outside of Fairmont BC.
I imagine other possibilities across our Visionstate Corp. technologies, such as potentially integrating WANDA technology into Sol Space modules, to take advantage of synergies between sustainable housing and monitoring residential power usage.
Executive Team Additions
I’m excited to have excellent new additions to our team, adding key highly experienced associates that will be instrumental to Visionstate’s long-term success and growth:
Debra Williams, EVP in charge of Visionstate’s Global Strategy and Business Development, has been building out plans and working to expand our global sales and distribution, and is actively working on developing key strategic partnerships. Since starting with us, she has been instrumental in landing several new accounts and is working closely with institutional customers and pilot projects to expand our business in the U.S.
Christine Beuchert was brought on recently as Director of Marketing and Communications to lead Visionstate’s marketing efforts and improve sales materials. She has improved the frequency and quality of our communications with investors and is working on new initiatives that will buttress sales efforts, including a new Visionstate sales video that will explain our WANDA product, including enhanced functions, in multiple languages. She has also been given the mission of updating our branding and website and will be developing a new pitch deck and related sales materials.
