Visionstate's Wanda IoT Solution to Be Enhanced by New RFID Technology
Application sold to an oil and gas company for inventory tracking

(TSX-V: VIS) (“Visionstate” or the “Company”) is pleased to announce that it has sold an application for RFID technology (Radio Frequency Identification), which will be leveraged to enhance the growing suite of products under the Wanda smart technology platform, to a company in the oil and gas sector.
The RFID solution provides a company that rents equipment in the oil and gas sector with an ability to track and streamline inventory and product movement. Each product is tagged with an RFID tag and can be tracked using RFID readers as it enters and exits defined areas such as warehouses or supply rooms.
“Tracking critical assets is an important part of efficient operations,” says Visionstate CEO John Putters. “RFID tracking helps control inventory and accurately measure its use and consumption.”
Visionstate’s oil and gas client was challenged by the number of products travelling in and out of the main warehouse, especially since the product is rented to customers in remote locations. The RFID application addresses this problem by tagging products and tracking them through the sales cycle. This has improved inventory management and provides more accurate data for billing purposes based on the length of time the product was rented.
According to Grand View Research, the market for RFID application is expected to grow to $40.5 billion by the year 2025. Similarly, the IoT or Internet of Things market is also expected to grow significantly over the next several years as wider adoption occurs.

VIS Develops New Wanda Occupancy Measurement Feature to Address Covid-19 Social Distancing Protocols

The new occupancy feature addresses concerns surrounding social distancing during the global COVID-19 pandemic by enabling facilities to provide customers with an accurate measurement of the number of people collected in a defined area, including restrooms.
The feature ties the Wanda tablet, an IoT device that measures cleaning activities and performance, with highly accurate people counting sensors. The Wanda tablet displays a message on its screen advising whether the area is at full capacity based on pre-established social distancing protocols.

Visionstate Announces New Global Partnership with Bunzl to Include New and Wider Revenue Streams

(TSX-V: VIS) (“Visionstate” or the “Company”) is pleased to announce that Visionstate IoT Inc., a wholly owned subsidiary of Visionstate Corp., and Bunzl Canada Inc. ( bunzlcanada.ca ), the Canadian division of specialist international distribution and services group, Bunzl plc, have renewed their partnership agreement for Bunzl to sell and distribute Visionstate’s proprietary Wanda IoT (Internet of Things) solution through its global markets.
The agreement solidifies and enhances Visionstate’s existing partnership with Bunzl with a wider revenue stream, in addition to Bunzl sales efforts, that includes the provision of development services to create new features and functionality for the product. This agreement positions Bunzl, a global distributor of cleaning and hygiene products and equipment, as the exclusive distribution partner for Visionstate IoT Inc.
Through the partnership Visionstate earns royalties on each Wanda unit sold and collects monthly residual income from on-going license fees derived from its three products. The agreement provides Visionstate with access to Bunzl’s global market in terms of the sales and distribution of the Wanda solution, which has gained significant attention as a result of the COVID-19 pandemic.

Visionstate Launches New Tech Feature in Wake of COVID-19
Edmonton, Alberta, September 10, 2020 - Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) is pleased to announce significant technology initiatives undertaken as a result of the continued threat posed by COVID-19. The new features enhance the Company’s current suite of products, branded under the name Wanda, which are designed to improve cleaning practices through the use of Internet of Things (IoT) technology.
Leveraging Visionstate’s use of sensors, which deliver data to Wanda tablets mounted outside restrooms, the Company is developing software to measure occupancy levels in public facilities. With the new feature in place, Wanda, using people counting sensors, can display whether or not a defined area, such as restrooms, has met its maximum occupancy level or not.
“With social distancing becoming the norm, people are more aware of the crowd environment, and knowing whether a facility or area of a building has reached capacity is important to both them and public health in general,” explained Visionstate CEO John Putters.
The new occupancy feature seamlessly integrates with existing Wanda solutions, utilizing the tablet itself for the information display as well as 3D people counting sensors that track traffic in and out of defined areas. Patrons are then provided with messaging on the Wanda tablet to indicate whether or not it’s safe to proceed.
“Visionstate is responding to what the market demands as it pertains to containing COVID-19,” Putters continued. “In the past six months the Company has responded by launching a mobile app to track cleaning compliance, and IoT buttons that can be deployed quickly for cleaning alerts, and require no existing infrastructure.”
For its mobile app, Visionstate developed custom forms that enable building operators to track compliance in their cleaning protocols. As protocols become more detailed, tracking anything from door knobs to meat slicers, antiquated paper-based methods of ensuring compliance will no longer work.
“The fact is, because you are dealing with people’s health and in some cases their lives, it’s extremely important to have a digital audit trail for cleaning compliance in case of a lawsuit, which is already happening,” Putters said. “Our technology is a very affordable solution in light of the alternative.”
Visionstate is also focussing on interaction with the Wanda screen itself. Although protected by an antimicrobial overlay, people are becoming more reluctant to interact with a touchscreen to provide feedback. Visionstate has responded by developing a feature that enables patrons to scan a code and provide feedback from their mobile phones.
Additionally, the Company is working on further integration with third party sensors to enhance its analytics platform. This positions Wanda as a hub of all smart data emanating from restrooms or other areas in public facilities.

Visionstate Begins Phase 2 Of App Roll Out, Announces New Sales
Edmonton, Alberta, September 8, 2020 - Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) is pleased to announce it has commenced phase 2 roll out of its Wanda mobile app to locations across Canada. The app, which tracks cleaning compliance, resource use and other cleaning-related activities, will be deployed to an additional 20 warehouse locations in September 2020.
The Company also reports it has secured a pilot project for its Wanda solution at a global pharmaceutical company which is using the technology to track cleaning in its test lab environments. The Company has also commenced a pilot project with one of the largest universities in Canada. Additionally, existing customers of Visionstate have ordered more product, including the Wanda device, Wanda QuickTouch, and the mobile app.

Visionstate Releases a New Compliance Feature to Tackle COVID-19

Visionstate Corp. Announces Final Approval for Closing of Over-Subscribed Private Placement
Edmonton, Alberta, March 30, 2020 - Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) announced on February 4, 2020 has received final acceptance from the TSX Venture Exchange to close on the over-subscription and issue 16,600,000 units (“Units”) at a price of $0.025 per Unit for gross proceeds of $415,000. Each Unit is comprised of one (1) common share in the capital of Visionstate (“Common Share”) and one (1) Common Share purchase warrant. Each Warrant entitles the holder to purchase one additional (1) Common Share at a price of $0.05 for a period of two (2) years from the date of closing. If the closing price of the Common Shares on the principal market on which such shares trade is equal to or exceeds $0.075 per Common Share for twenty (20) consecutive trading days, the Warrant term will automatically accelerate to a date that is thirty (30) days following the date a press release is issued by Visionstate announcing the reduced Warrant term, without any further notification to be made by Visionstate to the subscribers.
The pricing of the Offering was made in reliance on the temporary relief measures established by the TSX Venture Exchange Bulletin dated April 7, 2014. The price per Common Share was set at the last trading price on the TSX Venture Exchange before the issuance of the initial press release announced on February 4, 2020.
Visionstate intends to use the proceeds from this closing as follows: WANDA software development, specifically IoT (Internet of Things) buttons and a mobile app integrated with WANDA as to 30%; WANDA hardware inventory for internal sales as to 30%; and general and administrative expenses as to 40%.
The participation in the Offering by an executive officer of Visionstate may be considered a "related party transaction" (the “Related Party”) as defined under Multilateral Instrument 61-101 ("MI 61-101"). Visionstate has determined that exemptions from the formal valuation and minority shareholder approval requirements under MI 61-101 are available. In particular, Visionstate has determined that the exemptions set out in paragraphs (a) and (b) in section 5.5 of MI 61-101 are applicable since the aggregate consideration to be paid by the Related Party does not exceed 25% of the market capitalization of Visionstate and Visionstate is not listed on the Toronto Stock Exchange, but only on the TSX Venture Exchange. In addition, regarding the minority shareholder approval exemptions, the independent directors have determined that the exemptions set out in paragraphs (1)(a) and (b) in section 5.7 of MI 61-101 are applicable in that the aggregate consideration to be paid by the Related Party does not exceed 25% of the market capitalization of Visionstate, the distribution of the securities to the Related Party has a fair market value of not more than $2,500,000 and Visionstate is not listed on the Toronto Stock Exchange, but only on the TSX Venture Exchange.
Pursuant to applicable Canadian securities laws, the Common Shares and Warrants comprising the Units are subject to a four-month hold period from the time of closing of the Offering.

The pricing of the Offering is made in reliance on the temporary relief measures established by the TSX Venture Exchange Bulletin dated April 7, 2014. The price per Common Share has been set in accordance with the TSX Venture Exchange Policies and Bulletin with the last trading and closing price on the TSX Venture Exchange at $0.02 per Common Share prior to the issuance of this press release.
In connection with the Offering, Visionstate will be relying on the existing securityholders exemption as well as other available prospectus exemptions. Visionstate Expands WANDA Sales into New Industry Verticals

During the month of September 2019, the Company received orders for its WANDA product in new verticals, while existing customers continued to order additional units. WANDA, an IoT device designed to measure efficient restroom cleaning and customer satisfaction, was introduced to its first municipality last month. The 15-inch device, which collects data from sensors, customer alerts and staff cleaning activities, will be installed in large multiuse recreational centres located within the municipality.

Visionstate Launches New Mobile WANDA App

The app enables building operators to track cleaning, resources and activities outside restrooms, providing facility managers with a more complete solution.

(TSX-V: VIS) (“Visionstate” or the “Company”) is pleased to announce that it has signed a channel sales agreement with Sanitis Global to represent Visionstate’s Internet-of-Things solution WANDA, and WANDA-related products such as WANDA QuickTouch, to their customer base in the United States. Sanitis Global is a sales and marketing firm for next-generation infection control, disinfection, and green cleaning products for hospitals and clinics, food processing and food service facilities.
An initial two-year agreement will allow Visionstate to earn royalties off all sales, as well as ongoing residual licence fees. The roll-out period will start in September 2019.

Expanding reselling agreements is a market penetration strategy for Visionstate. They enable the Company to leverage large sales forces without incurring additional expenses. Increased reseller sales will result in more royalties on the software and increased residual income for Visionstate.

Visionstate Introduces WANDA QuickTouch, an Internet-of-Things Button Device
Edmonton, Alberta, June 25, 2019 - Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) is pleased to introduce WANDA QuickTouch, a new product derived from its WANDA Internet-of-Things solution. WANDA QuickTouch is a battery-powered button device that leverages the LTE-M cellular network, reducing infrastructure requirements and expanding WANDA’s reach. The IoT button provides Visionstate with the ability to connect remote restrooms to the solution by enabling basic alerts, cleanings and ratings.
“When the button is pressed, a similar alert is generated as from a standard WANDA unit capturing time and location of the event. When the button is pressed for a second, it will generate a service event, as if a cleaning staff member had signed into a WANDA unit. This captures time, location and a cleaning event. The hardware incorporates a button provided by AT&T using the LTE-M network and sends an event through the AWS One-Click service,” commented John Putters, CEO.
The solution is particularly attractive to large facilities with multiple restrooms. While WANDA is usually installed in high-traffic locations, the IoT buttons such as WANDA QuickTouch are well-suited for more remote restrooms and common areas. The IoT button still provides vital analytics on alerts and cleanings back to building managers, making WANDA QuickTouch both practical and affordable for a wider range of locations.
Other use-case scenarios include using a series of three or more buttons for customer satisfaction ratings. This has the advantage over existing rating systems based on no required infrastructure (mounting, power, connectivity).
The IoT button device greatly expands Visionstate's reach by introducing more cost-effective technology to track basic cleanings, alerts, and customer satisfaction.
