Visionstate’s WANDA is First Line of Defence in COVID-19 Breakout
Edmonton, Alberta, March 17, 2020 - Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) has seen a marked uptick of inquiries about its WANDA IoT solution in the wake of the coronavirus outbreak. WANDA, a smart restroom solution already installed in multiple locations across North America, is expanding quickly as facility managers look to new technologies to ensure compliance with cleaning contracts, which should result in higher revenues for Visionstate over the next few quarters once the new installations are complete.
Visionstate has worked with its distribution partner to create a WANDA kit pre-bundled with IoT cellular connectivity, making it a plug-and-play device.
“With the novel COVID-19 virus now being declared a global pandemic, the importance of cleaning in public facilities has become paramount in the fight against the disease spreading even further. Visionstate’s WANDA is on the front line of cleaning efforts, ensuring effective cleaning procedures are met in the on-going battle against viruses. It provides the public a level of comfort knowing that facility managers are committed to high standards,” explained John Putters, CEO of Visionstate IoT Inc.
WANDA is a smart tablet that is mounted at the entrance of public restrooms and monitors cleaning activities to ensure that those efforts are compliant with required procedures in order to meet high standards of cleanliness. WANDA, which is protected by an antimicrobial film, is installed in hospitals, airports, office buildings, shopping centres and recreational centres across North America. The IoT solution is used by facility managers to ensure cleaning standards are met and to track activities through WANDA’s real-time analytics dashboard.
Over the last three months Visionstate IoT has added several key locations to its customer portfolio, including a Class A office tower in downtown Manhattan, which is currently looking at expanding its WANDA compliment and adding IoT buttons or Wanda Quicktouch, a simple method of issuing alerts for cleaning or maintenance issues. The Company has also sold WANDA units to a US-based power authority, a large Canadian zoo, a group of recreation centres, as well as made its first global sale to a shopping centre in Australia.
In the past six months Visionstate has developed new technology to further strengthen its position as a premier supplier of smart technology in the facility management industry. The Company has launched a new mobile app designed to track cleaning outside of restrooms, and IoT buttons which require no infrastructure and can be installed in virtually any location where alerts and tracking cleaning are important.

Visionstate Expands WANDA Sales into New Industry Verticals
Edmonton, Alberta, October 9, 2019 - Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) is pleased to announce updates on the Company’s sales activities for its main operating division Visionstate IoT Inc., an Internet of Things (IoT) company specializing in solutions for the facility management industry.
During the month of September 2019, the Company received orders for its WANDA product in new verticals, while existing customers continued to order additional units. WANDA, an IoT device designed to measure efficient restroom cleaning and customer satisfaction, was introduced to its first municipality last month. The 15-inch device, which collects data from sensors, customer alerts and staff cleaning activities, will be installed in large multiuse recreational centres located within the municipality.
“The introduction of WANDA to our first major municipality is a key milestone for Visionstate,” said CEO John Putters. “WANDA lends well to the continued growth of smart cities, and therefore opens an entirely new sales vertical for the Company.”
In the month of September, Visionstate also received orders from its first power authority located in the US. The installation will occur at their head office in November and represents another new vertical for the Company.
The diverse install base demonstrates the widening appeal for WANDA as more and more facility managers look to IoT solutions to make their work more efficient. WANDA acts as a hub for key cleaning, maintenance and customer satisfaction information that is summarized in an analytics dashboard. It measures traffic, supplies, cleaning activities and provides customers with the ability to issue alerts.
Existing customers, including a Canadian hospital and a large shopping centre in Eastern Canada, purchased additional WANDA units during the month of September.
“We are extremely pleased to see existing customers order additional units,” explained Putters. “It demonstrates the value of our product and the growing interest in IoT solutions. Once you switch to WANDA that provides accountability, efficiency, inventory tracking and real-time alerts, there is no way back to the traditional paper-based reporting. ”
Industry experts predict substantial investments into IoT solutions in upcoming years based on the value of the analytics it produces. Facility managers use that data to identify inefficiencies in operations, and can better respond to customer demands.

Visionstate Launches New Mobile WANDA App
Edmonton, Alberta, September 6, 2019 - Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) is pleased to announce that Visionstate IoT Inc., the operating division of Visionstate Corp., has launched a new mobile app designed to enhance its WANDA product and expand its revenue base.
WANDA Mobile is an extension of the WANDA IoT solution that is installed in public restrooms to collect data on the efficiency of cleaning and maintaining public restrooms. The app enables building operators to track cleaning, resources and activities outside restrooms, providing facility managers with a more complete solution.
“WANDA is a great product and delivers measurable return on investment based on the analytical data collected by the device,” explains Visionstate’s CEO John Putters. “The mobile app takes WANDA outside restrooms and enables our customers to track all cleaning activities in any facility.”
The WANDA app currently replicates the functionality of the WANDA device, however as sensors are continued to be deployed, the app will ultimately deliver intelligent work flows and schedules based on priority determined by sensor information.
WANDA Mobile is the latest product to be released by Visionstate IoT as it expands its solution offering and adds additional revenue streams. WANDA Mobile can be used both as a stand-alone product and in conjunction with other WANDA-related devices such as the recently launched WANDA QuickTouch, an IoT button designed to deliver service alerts in any facility area.
“Over the past 18 months Visionstate has been gathering information from customers on how to expand its solution and deliver a more complete offering to the facility managers. The mobile app is a strong step in that direction,” comments John Putters.
WANDA Mobile is based on software as a service (SaaS) model, similar to WANDA QuickTouch. The Company’s goal is to build its revenue base through the SaaS model and software royalties currently being generated through the sales of the WANDA device.

Visionstate Signs an Agreement with Sanitis Global to Increase WANDA Sales
Edmonton, Alberta, August 27, 2019 - Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) is pleased to announce that it has signed a channel sales agreement with Sanitis Global to represent Visionstate’s Internet-of-Things solution WANDA, and WANDA-related products such as WANDA QuickTouch, to their customer base in the United States. Sanitis Global is a sales and marketing firm for next-generation infection control, disinfection, and green cleaning products for hospitals and clinics, food processing and food service facilities.
An initial two-year agreement will allow Visionstate to earn royalties off all sales, as well as ongoing residual licence fees. The roll-out period will start in September 2019.
Harry Jarbath, Founder of Sanitis, said: “We are delighted to be partnering with Visionstate for the sales and marketing of their innovative WANDA IoT product, distributed by the highly-regarded, exclusive global distributor, Bunzl. The relationship with Visionstate represents a powerful opportunity for Sanitis to significantly expand our presence in the US Healthcare and FM market.”
"We look forward to working closely with Visionstate as we combine our efforts to serve a broader range of customers with Visionstate's WANDA solution over the coming months and years,” added Allen Beuershausen, Co-founder of Sanitis.
John Putters, CEO of Visionstate, commented: “We are very excited about the new agreement with Sanitis, which will greatly increase Visionstate’s WANDA sales in the US. While Sanitis operates in multiple industries, their primary focus remains hospitals, Visionstate’s largest install base to date. Sanitis also expressed an interest in rolling out Visionstate’s new QuickTouch IoT product (see Press Release from June 25, 2019) making this agreement a way for us to bring new products to the market through a reseller model. WANDA QuickTouch is ideal for a hospital environment, be it a patient room or a nursing station.”
Expanding reselling agreements is a market penetration strategy for Visionstate. They enable the Company to leverage large sales forces without incurring additional expenses. Increased reseller sales will result in more royalties on the software and increased residual income for Visionstate.

Visionstate Introduces WANDA QuickTouch, an Internet-of-Things Button Device
Edmonton, Alberta, June 25, 2019 - Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) is pleased to introduce WANDA QuickTouch, a new product derived from its WANDA Internet-of-Things solution. WANDA QuickTouch is a battery-powered button device that leverages the LTE-M cellular network, reducing infrastructure requirements and expanding WANDA’s reach. The IoT button provides Visionstate with the ability to connect remote restrooms to the solution by enabling basic alerts, cleanings and ratings.
“When the button is pressed, a similar alert is generated as from a standard WANDA unit capturing time and location of the event. When the button is pressed for a second, it will generate a service event, as if a cleaning staff member had signed into a WANDA unit. This captures time, location and a cleaning event. The hardware incorporates a button provided by AT&T using the LTE-M network and sends an event through the AWS One-Click service,” commented John Putters, CEO.
The solution is particularly attractive to large facilities with multiple restrooms. While WANDA is usually installed in high-traffic locations, the IoT buttons such as WANDA QuickTouch are well-suited for more remote restrooms and common areas. The IoT button still provides vital analytics on alerts and cleanings back to building managers, making WANDA QuickTouch both practical and affordable for a wider range of locations.
Other use-case scenarios include using a series of three or more buttons for customer satisfaction ratings. This has the advantage over existing rating systems based on no required infrastructure (mounting, power, connectivity).
The IoT button device greatly expands Visionstate's reach by introducing more cost-effective technology to track basic cleanings, alerts, and customer satisfaction.

Visionstate Launches Cellular-Based Version of WANDA(TM) via TELUS’ LTE-M Network
Edmonton, Alberta, May 16, 2019 - Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) today announced that, following a successful completion of a trial period, it has entered into an agreement with TELUS, one of Canada’s largest telecommunications companies, to introduce cellular connectivity into its customized WANDATM Internet of Things (IoT) solution, through Visionstate’s exclusive distribution partner, Bunzl Canada Inc. The agreement enables Visionstate to sell a plug-and-play version of WANDA that leverages the power of TELUS’ LTE-M network, which was built specifically for IoT device connectivity. This will help to decrease deployment times and expand WANDA’s market potential in diverse locations.
Typically, installations have relied on Wi-Fi connection which, despite being a good option, is not always available at the installation locations. As a result of a number of tests, Visionstate produced a cellular-based connectivity solution for its WANDA product that can now be installed without the need to configure wireless networks in the area of installation, which significantly reduces the roll-out time.
John Putters, CEO of Visionstate, comments: “We are extremely delighted to announce this agreement with TELUS and are excited about the launch of the cellular-based version of WANDA. The implications of the new connectivity solution include faster roll out times, more flexibility in how WANDA communicates to the Internet, as well as a dedicated management portal administered by Visionstate.”

After a year of investing in national training, sales support and specific product development for our major global distribution partner, we are seeing positive results of our extensive support. Not only have we managed to sell into new global locations, but we have also entered new industries, and continue to expand at a steady pace.
We do believe WANDA could, and should, be installed in every public area. Internet of Things implementation in the facility management space is growing exponentially, as indicated in multiple research studies. So we believe WANDA will eventually be incorporated into most newly engineered builds,” commented John Putters, Founder & CEO.
Further sales growth is expected now that Visionstate’s largest distribution partner has been fully trained and has an aggressive marketing and sales campaign in place. Visionstate is also in the process of expanding its partnership with several additional distributors which will encompass sales, marketing and PR strategies to further promote WANDA in the US market.
In addition to that, the Company will be expanding and enhancing its solutions in the coming months to further strengthen and diversify its sales.

Visionstate Updates on Exceed Solar and Freedom Cannabis Investments
Edmonton, Alberta – March 14, 2019 – Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) today provided an update on the operations, progress and near-term plans of its two portfolio companies, Exceed Solar and Freedom Cannabis.
Both investments are aligned with Visionstate’s goal of developing smart technology solutions that promote sustainability. Visionstate’s primary focus is expanding the use and enhancing the functionality of its unique Internet of Things (IoT) WANDA solution. The Company’s strategic investments in Exceed Solar and Freedom Cannabis seek to extend WANDA’s IoT application beyond the existing footprint to the housing and cannabis industries.
Exceed Solar
Exceed Solar is a private, smart tech company whose objective is to disrupt the traditional building industry by introducing scalable, affordable, and energy efficient living spaces to the housing market.
Exceed Solar has completed R&D (Research and Development) on its smart, energy efficient living spaces, and is now in sales mode with two sales already made in Q1 2019: one for its 450 square foot Garden Suite to an Indigenous community in Alberta and one unit of its Sol Bank made to a residential home in Edmonton, Alberta. The Sol Bank is an 8x12 backyard utility space with approximately 1.5 kw/hr solar energy that has tremendous flexibility in adding a power module to a backyard or rural property. Together these sales represent approximately $150,000 in revenue.
Exceed has recently entered into an option agreement to commence development of the Sol Village project on approximately 53 acres of developable land near Pigeon Lake, which will include 30 Sol Spaces powered by a solar micro grid as well as community gardening and greenhouses. Exceed Solar anticipates launching pre-sales of the living spaces for the Sol Village project in the spring of 2019. The company is now updating its website to reflect the new pricing and product details.
In addition, Exceed Solar continues to provide seminars on climate change and opportunities in renewable energy and will be participating in an Indigenous sponsored event in April 2019. These seminars have proven valuable in terms of building relationships with the local First Nations communities.
Visionstate has a convertible debenture with Exceed Solar for $200,000, of which approximately $155,000 has been allocated for research and development of the Company's scalable living spaces. The two-year debenture, which matures on April 30, 2020, carries an interest rate of 7% and can be converted for up to 20% equity in the company. Visionstate continues to monitor progress and growth of Exceed Solar and is investigating opportunities to expand its IoT technology to the housing market.
Freedom Cannabis
Freedom Cannabis is a private sustainable cannabis company currently waiting for a final review to become a licensed producer. An important component of Freedom’s business strategy is sourcing genetics to add to its large medicinal and recreational cannabis cultivation portfolio. The company is in the final construction phase of its state-of-the-art facility which will be one of the best of its kind in Western Canada.
Visionstate’s reporting issuer* entered into an LOI (Letter of Intent) with Freedom Cannabis in May 2017. Visionstate then invested in Freedom Cannabis in a seed-round financing in 2018 and will be extending the terms of its agreement until September 2019. *Reporting issuers are non-listed public companies that are created in order to do reverse takeovers to acquire a public listing on a Canadian stock exchange.
Freedom has since successfully completed a second round of financing, effectively doubling the value of Visionstate’s investment, as reflected in the Company's balance sheet. As their business grows, so does Visionstate’s investment.
Freedom’s approach to sustainability aligns with Visionstate’s overall trajectory, while this strategic investment also allows the Company to introduce its IoT technology into the thriving cannabis industry.
Financing
Visionstate today also announced a private placement of up to $200,000, priced at 2.5 cents per unit, plus a half warrant at 5 cents for a term of 12 months. The net proceeds will be used for product development, marketing initiatives and working capital. The units shall be subject to the four-month holding period from the closing date as per TSX regulations.
