Visionstate Announces Exchange Acceptance and Closing of Previously Announced Private Placement
Edmonton, Alberta, February 26, 2021 - Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) is pleased to announce the final acceptance from the TSX Venture Exchange and closing of its over-subscribed, non-brokered private placement financing ("Private Placement") for gross proceeds of $1,505,000 or 30,100,000 units ("Units") at a price of $0.05 per Unit.
The Private Placement was first announced on February 1, 2021 for up to $750,000 and upsized to $1,500,000 on February 11th, 2021, for up to 30,000,000 units ("Units"), at a price of $0.05 per Unit. On February 26, 2021, Visionstate closed subscriptions of 30,100,000 Units for gross proceeds of $1,505,000 that included 2,445,000 Units issued to certain insiders of the Company.
Each Unit is comprised of one (1) common share in the capital of Visionstate Corp (" Common Share ") and one (1) Common Share purchase warrant (" Warrant "), whereby each Warrant entitles the holder to purchase one (1) Common Share at a price of $0.07 for a period of 36 months from the date of closing.
The issuance of Units to insiders pursuant to the Private Placement will constitute a "related party transaction" as defined under Multilateral Instrument 61-101, Protection of Minority Security Holders in Special Transactions ("MI 61-101"). The Offering will be exempt from the formal valuation and minority shareholder approval requirements of MI 61-101. Visionstate anticipates that the exemptions set out in paragraphs (a) and (b) in section 5.5 of MI 61-101 are applicable since the aggregate consideration to be paid by the related parties will not exceed 25% of the market capitalization of Visionstate and Visionstate is not listed on the Toronto Stock Exchange, but only on the TSX Venture Exchange. In addition, regarding the minority shareholder approval exemptions, the independent directors have determined that the exemptions set out in paragraphs (1)(a) and (b) in section 5.7 of MI 61-101 are applicable in that the aggregate consideration to be paid by the related parties will not exceed 25% of the market capitalization of Visionstate, the distribution of the securities to the related parties will have a fair market value of not more than $122,250 and Visionstate is not listed on the Toronto Stock Exchange, but only on the TSX Venture Exchange.
The securities issued under the Private Placement are subject to a four-month hold period from the time of closing of the Private Placement.
In addition, the Company has paid a finder's fee, in the total amount of $8,880 cash and 2970,00 in broker warrants priced at $.07 per warrant, in connection with the entire Private Placement.
Visionstate will use the net proceeds from the Private Placement for general working capital and growing its business.

Freedom Cannabis Inc. also holds Sale (Medical) and Cultivation licences. The Processing licence previously allowed sales of plants and seeds. It further allows for provincial and territorial applications in the Northwest Territories (NWT), Saskatchewan, Alberta, and Ontario for consumer sales.
This licence solidifies Freedom’s ability to market next-generation cannabis products for medicinal and retail sale through vertically integrated seed to sale operations. The Company is now ready to immediately convert its vault inventory into market-ready products, including pre-roll, extracts, and dried cannabis in 3.5g, 7g, 14g, and 28g units. Visionstate Portfolio Company Taps University Grant for Its High-Tech Solar-Powered Greenhouse
Exceed Solar is addressing the growing threat to food security
Edmonton, Alberta, February 11, 2021 - Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) is pleased to announce that Exceed Solar, a portfolio company of Visionstate Corp., has been successful in working with the University of Alberta in accessing grant funding to conduct advanced research on cold climate greenhouses.
The grant, which was secured through the University of Alberta’s Energy Management and Sustainable Operations, will provide funding to install Exceed’s high-tech solar-powered greenhouse on the university campus for the purposes of advanced research.
The objective of the project is to leverage technology to further enhance the capabilities of backyard greenhouses in order to address growing concerns about food security. The project will incorporate Visionstate’s Internet of Things (IoT) technology to measure environmental conditions and new technology that draws heat from natural sources.
In addition, research projects with the University of Alberta’s Engineering Department, Renewable Energy Design team, and Permaculture student groups will be involved with the project.
“This is a great opportunity for both Exceed Solar and Visionstate,” explains Visionstate Corp. CEO John Putters. “It provides Exceed with access to advanced research while at the same time giving Visionstate the opportunity to work with the electrical engineering department to deploy its proprietary IoT technology in the consumer market.”
The 240-square-foot greenhouse is constructed using sustainable and efficient building materials while leveraging solar energy for off-grid power.
According to the US-based National Gardening Association (NGA), 35 percent of households in the US grow food either at home or in a community garden, representing a 200% increase over the past five years. Food Secure Canada, in a recently published policy action plan, concluded that the global COVID-19 pandemic has illustrated the need for a renewal in our food systems.
“The pandemic is magnifying the structural inequalities in our food systems, the insufficiencies of our social protection programs, and the challenges with the dominant food supply chains,” said Gisèle Yasmeen, Executive Director of FSC, in a recent press release. “The time for healthier, more just and sustainable food systems is now.”
Exceed Solar, which is focused on sustainable, high-tech building envelopes for backyard applications such as studios, greenhouses and garden suites, is currently building the university prototype and expects installation in early spring 2021.
Visionstate, which develops IoT software branded under the name Wanda, will leverage its relationship with Exceed Solar to expand its solution to the consumer market. Wanda is currently used in the facility management sector to monitor compliance and efficiencies in the cleaning process.

Visionstate's Wanda IoT Solution to Be Enhanced by New RFID Technology
Application sold to an oil and gas company for inventory tracking
Edmonton, Alberta, November 25, 2020 - Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) is pleased to announce that it has sold an application for RFID technology (Radio Frequency Identification), which will be leveraged to enhance the growing suite of products under the Wanda smart technology platform, to a company in the oil and gas sector.
The RFID solution provides a company that rents equipment in the oil and gas sector with an ability to track and streamline inventory and product movement. Each product is tagged with an RFID tag and can be tracked using RFID readers as it enters and exits defined areas such as warehouses or supply rooms.
“Tracking critical assets is an important part of efficient operations,” says Visionstate CEO John Putters. “RFID tracking helps control inventory and accurately measure its use and consumption.”
Visionstate’s oil and gas client was challenged by the number of products travelling in and out of the main warehouse, especially since the product is rented to customers in remote locations. The RFID application addresses this problem by tagging products and tracking them through the sales cycle. This has improved inventory management and provides more accurate data for billing purposes based on the length of time the product was rented.
According to Grand View Research, the market for RFID application is expected to grow to $40.5 billion by the year 2025. Similarly, the IoT or Internet of Things market is also expected to grow significantly over the next several years as wider adoption occurs.

VIS Develops New Wanda Occupancy Measurement Feature to Address Covid-19 Social Distancing Protocols
Edmonton, Alberta, November 5, 2020 - Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) is pleased to announce the addition of its new occupancy level feature to the growing suite of products within the Company’s Wanda IoT solution.
The new occupancy feature addresses concerns surrounding social distancing during the global COVID-19 pandemic by enabling facilities to provide customers with an accurate measurement of the number of people collected in a defined area, including restrooms.
The feature ties the Wanda tablet, an IoT device that measures cleaning activities and performance, with highly accurate people counting sensors. The Wanda tablet displays a message on its screen advising whether the area is at full capacity based on pre-established social distancing protocols.

Visionstate Announces New Global Partnership with Bunzl to Include New and Wider Revenue Streams

(TSX-V: VIS) (“Visionstate” or the “Company”) is pleased to announce that Visionstate IoT Inc., a wholly owned subsidiary of Visionstate Corp., and Bunzl Canada Inc. ( bunzlcanada.ca ), the Canadian division of specialist international distribution and services group, Bunzl plc, have renewed their partnership agreement for Bunzl to sell and distribute Visionstate’s proprietary Wanda IoT (Internet of Things) solution through its global markets.
The agreement solidifies and enhances Visionstate’s existing partnership with Bunzl with a wider revenue stream, in addition to Bunzl sales efforts, that includes the provision of development services to create new features and functionality for the product. This agreement positions Bunzl, a global distributor of cleaning and hygiene products and equipment, as the exclusive distribution partner for Visionstate IoT Inc.
Through the partnership Visionstate earns royalties on each Wanda unit sold and collects monthly residual income from on-going license fees derived from its three products. Visionstate Launches New Tech Feature in Wake of COVID-19
Edmonton, Alberta, September 10, 2020 - Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) is pleased to announce significant technology initiatives undertaken as a result of the continued threat posed by COVID-19. The new features enhance the Company’s current suite of products, branded under the name Wanda, which are designed to improve cleaning practices through the use of Internet of Things (IoT) technology.
Leveraging Visionstate’s use of sensors, which deliver data to Wanda tablets mounted outside restrooms, the Company is developing software to measure occupancy levels in public facilities. With the new feature in place, Wanda, using people counting sensors, can display whether or not a defined area, such as restrooms, has met its maximum occupancy level or not.
“With social distancing becoming the norm, people are more aware of the crowd environment, and knowing whether a facility or area of a building has reached capacity is important to both them and public health in general,” explained Visionstate CEO John Putters.
The new occupancy feature seamlessly integrates with existing Wanda solutions, utilizing the tablet itself for the information display as well as 3D people counting sensors that track traffic in and out of defined areas. Patrons are then provided with messaging on the Wanda tablet to indicate whether or not it’s safe to proceed.
“Visionstate is responding to what the market demands as it pertains to containing COVID-19,” Putters continued. “In the past six months the Company has responded by launching a mobile app to track cleaning compliance, and IoT buttons that can be deployed quickly for cleaning alerts, and require no existing infrastructure.”
For its mobile app, Visionstate developed custom forms that enable building operators to track compliance in their cleaning protocols. As protocols become more detailed, tracking anything from door knobs to meat slicers, antiquated paper-based methods of ensuring compliance will no longer work.
“The fact is, because you are dealing with people’s health and in some cases their lives, it’s extremely important to have a digital audit trail for cleaning compliance in case of a lawsuit, which is already happening,” Putters said. “Our technology is a very affordable solution in light of the alternative.”
Visionstate is also focussing on interaction with the Wanda screen itself. Although protected by an antimicrobial overlay, people are becoming more reluctant to interact with a touchscreen to provide feedback. Visionstate has responded by developing a feature that enables patrons to scan a code and provide feedback from their mobile phones.
Additionally, the Company is working on further integration with third party sensors to enhance its analytics platform. This positions Wanda as a hub of all smart data emanating from restrooms or other areas in public facilities.
“The potential for detailed analytics is significant,” Putters explained. “For example, if we are tracking foot traffic in and out of a restrooms, while at the same time measuring hand pumps with the soap dispenser, analytics can calculate the average number of people actually washing their hands. Visionstate Begins Phase 2 Of App Roll Out, Announces New Sales
Edmonton, Alberta, September 8, 2020 - Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) is pleased to announce it has commenced phase 2 roll out of its Wanda mobile app to locations across Canada. The app, which tracks cleaning compliance, resource use and other cleaning-related activities, will be deployed to an additional 20 warehouse locations in September 2020.
The Company also reports it has secured a pilot project for its Wanda solution at a global pharmaceutical company which is using the technology to track cleaning in its test lab environments. The Company has also commenced a pilot project with one of the largest universities in Canada. Additionally, existing customers of Visionstate have ordered more product, including the Wanda device, Wanda QuickTouch, and the mobile app.

Visionstate Releases a New Compliance Feature to Tackle COVID-19

The new reality of restroom cleaning
We’ve all had the same frightening experience at one time or another: you walk into an establishment having to use the restroom, only to discover it’s an unsightly mess that leaves you wondering if you were better off seeking the privacy of a back alley. Needless to say, your desire to ever re-visit the premises hits an all-time low.
While in the past the worst-case scenario was leaving with a bad taste in your mouth, or perhaps even excluding the establishment as your go-to for food or any other goods or services offered, today is a much different playing field.
The COVID-19 pandemic has illustrated that clean facilities are no longer a luxury, but rather a necessity. Setting aside the relevance of public perception for a moment, there are now more significant risks at stake to any facility manager.
First and foremost, there are cleaning standards that are expected to be met. Previously we relied upon paper-based forms to track who and when cleaned a restroom or a public area, and what activities were performed during the cleaning process. The same tired, forlorn, sheet of paper hung haphazardly on the inside of the restroom door awaiting an illegible signature to indicate the restroom was clean and up to the standards of the facility and the general public.
Today this approach is no longer acceptable. COVID-19 has affected the entire planet and proper cleaning is no longer just about perception, but personal safety and potential liability if cleaning standards are not met. The cruise line industry is already facing this reality, and winning customers back after the COVID-19 curve flattens out will be a tough proposition without convincing them that new measures are in place to ensure the highest of cleaning standards. Otherwise, the risk to public and personal safety is simply too high.
Technology is increasingly becoming the answer to the new reality we face in light of COVID-19. And specifically, IoT or Internet of Things technology which facilitates data collection on all aspects of cleaning and meeting high standards. Real-time information on what was cleaned, when, by whom, the resources used, and the amount of traffic observed is now available through products like Visionstate’s WANDA solution. It provides protection to both the customer and the facility.
Of course, the movement toward IoT is also driven by public perception, which in most cases is the determining factor between success and failure. In the past we may have left a poorly maintained facility with a bad taste in our mouths; today we ask ourselves if perhaps we contracted a disease that will affect our well-being.

Visionstate Corp. Announces Final Approval for Closing of Over-Subscribed Private Placement
Edmonton, Alberta, March 30, 2020 - Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) announced on February 4, 2020 has received final acceptance from the TSX Venture Exchange to close on the over-subscription and issue 16,600,000 units (“Units”) at a price of $0.025 per Unit for gross proceeds of $415,000. Each Unit is comprised of one (1) common share in the capital of Visionstate (“Common Share”) and one (1) Common Share purchase warrant. Each Warrant entitles the holder to purchase one additional (1) Common Share at a price of $0.05 for a period of two (2) years from the date of closing. If the closing price of the Common Shares on the principal market on which such shares trade is equal to or exceeds $0.075 per Common Share for twenty (20) consecutive trading days, the Warrant term will automatically accelerate to a date that is thirty (30) days following the date a press release is issued by Visionstate announcing the reduced Warrant term, without any further notification to be made by Visionstate to the subscribers.
The pricing of the Offering was made in reliance on the temporary relief measures established by the TSX Venture Exchange Bulletin dated April 7, 2014. The price per Common Share was set at the last trading price on the TSX Venture Exchange before the issuance of the initial press release announced on February 4, 2020.
Visionstate intends to use the proceeds from this closing as follows: WANDA software development, specifically IoT (Internet of Things) buttons and a mobile app integrated with WANDA as to 30%; WANDA hardware inventory for internal sales as to 30%; and general and administrative expenses as to 40%.
The participation in the Offering by an executive officer of Visionstate may be considered a "related party transaction" (the “Related Party”) as defined under Multilateral Instrument 61-101 ("MI 61-101"). Visionstate has determined that exemptions from the formal valuation and minority shareholder approval requirements under MI 61-101 are available. In particular, Visionstate has determined that the exemptions set out in paragraphs (a) and (b) in section 5.5 of MI 61-101 are applicable since the aggregate consideration to be paid by the Related Party does not exceed 25% of the market capitalization of Visionstate and Visionstate is not listed on the Toronto Stock Exchange, but only on the TSX Venture Exchange. In addition, regarding the minority shareholder approval exemptions, the independent directors have determined that the exemptions set out in paragraphs (1)(a) and (b) in section 5.7 of MI 61-101 are applicable in that the aggregate consideration to be paid by the Related Party does not exceed 25% of the market capitalization of Visionstate, the distribution of the securities to the Related Party has a fair market value of not more than $2,500,000 and Visionstate is not listed on the Toronto Stock Exchange, but only on the TSX Venture Exchange.
Pursuant to applicable Canadian securities laws, the Common Shares and Warrants comprising the Units are subject to a four-month hold period from the time of closing of the Offering.

Visionstate Ships First IoT Buttons for Rapid Response to Cleaning Alerts
Edmonton, Alberta, March 23, 2020 - Visionstate Corp. (TSX-V: VIS) (“Visionstate” or the “Company”) is pleased to announce it has shipped its first Internet of Things (IoT) buttons to hospitals in Vancouver, BC, marking the initial deployment of the new technology developed by the Company.
The buttons, called Wanda QuickTouch, were developed to address the need for rapid deployment in a facility of any size. The IoT buttons send instant alerts to management advising of any cleaning or maintenance issues that may pose risks to the public safety. The technology enables facility managers to track alerts and staff response times, as well as monitor regular cleaning activities in the high-traffic areas.
